SAFEXEL PTE. LTD. TERMS AND CONDITIONS OF USE

1. Introduction

These Terms of Use (“Terms”) govern your access to and use of Safexel’s IT software, website, and related platforms (collectively, the “Safexel Service”), including any content, documentation, or materials made available through it (“Content”).

By creating an account or using the Safexel Service, you agree to be bound by these Terms and Safexel’s Privacy Policy. If you do not agree, you must not use the Service.

Access is granted by an entity or organization that has an agreement with Safexel (the “Customer”). The Customer authorizes “Users” (employees, consultants, subcontractors, agents, or third parties) to use the Service for professional purposes.

Safexel may revise these Terms from time to time. Safexel will let you know by posting the most current version on Safexel website. You are responsible for checking such postings regularly. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised terms.

2. Provision of Services

  • Trials: Safexel may offer free trials (e.g., “Basic Tier”) subject to promotional terms. Paid subscriptions require payment before access.
  • Availability: Service availability may be affected by maintenance, updates, or regulatory requirements.
  • Access Credentials: Each User is assigned a unique ID, which must be used to access the Service.
  • Security: Safexel shall implement all physical and logical security measures described on Safexel Website. The User hereby acknowledges that such measures are suitable with regard to the type of use it intends to make of the Services as well as the nature of the relevant Customer Data.

3. User Responsibilities

Account Creation: To use the Safexel Service, you must create a Safexel account. You are responsible for maintaining the confidentiality of your username and password.

User Guidelines: You agree to abide by our safety and professional guidelines. Users must:

  • Comply with these Terms and applicable laws. Safexel does not monitor or control Customer Data and accepts no responsibility for its use.
  • Keep login credentials confidential. Safexel is not responsible for damages arising from unauthorized disclosure.
  • Not misuse the Service (e.g., breach security, reverse engineer, distribute harmful code, or share fraudulent content).
  • Damage, disable, or impair the Services.
  • Interfere with or disrupt the Services (e.g., viruses, flooding, spamming).
  • Violate laws, including storing or sharing fraudulent or infringing content.
  • Copy, resell, lease, or modify the Services.
  • Not allow persons under 16 to use the Service.

Safexel may suspend or terminate accounts immediately upon breach.

4. Content & Intellectual Property

Safexel Content: The Safexel Service and all its components (code, logos, designs) are the property of Safexel Pte Ltd.

Your Content: You own all data, safety reports, and documentation you upload to the platform. You grant Safexel a limited license to host and process this data solely to provide the service to you.

5. Payments, Trials and Cancellation

5.1 Billing and Payment Methods

  • Paid Subscriptions are billed on a recurring basis (monthly or annually) depending on your selection.
  • You must provide and maintain accurate billing information and a valid payment method (credit card, debit card, or other accepted method).
  • If your payment method fails, Safexel may suspend or terminate your access until payment is successfully processed.

5.2 Free Trials and Promotional Offers

  • Safexel may offer free trials or promotional pricing for limited periods.
  • At the end of a free trial, unless cancelled before the trial expires, your subscription will automatically convert to a paid plan at the then-current rate.
  • Promotional offers may be subject to eligibility criteria and may not be combined with other discounts.

5.3 Price Changes

  • Safexel reserves the right to change subscription fees at any time.
  • Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.
  • Continued use of the Service after a price change constitutes acceptance of the new price.

5.4 Refunds

  • All fees are non-refundable except as required by Singapore law or if Safexel explicitly offers a refund policy for specific promotions.
  • Partial refunds are not provided for unused portions of a subscription term.

5.5 Cancellation by User

  • You may cancel your subscription at any time through your account settings.
  • Cancellation will take effect at the end of the current billing period, and you will retain access until that time.
  • To avoid charges, you must cancel before the next billing cycle begins.

5.6 Cancellation or Suspension by Safexel

  • Safexel may suspend or terminate your subscription if you fail to pay fees, violate these Terms, or misuse the Service.
  • In such cases, you remain responsible for outstanding charges.

5.7 Taxes and Fees

  • Subscription fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying any such taxes required under applicable law.

6. Proprietary Rights and Licenses

  • Safexel retains all intellectual property rights in its software, platforms, and trademarks.
  • Users are granted a limited, non‑exclusive, non‑transferable, revocable license to use Safexel software solely to access the Service.
  • Feedback provided by Users may be freely used, modified, and incorporated by Safexel without obligation.
  • After payment, you may access and use the Safexel Service for professional purposes only. The license is non-exclusive and non-transferable.

7. Protection of Customer Data and Privacy

  • Safexel and Users must comply with applicable data protection laws.
  • Safexel collects and processes information in accordance with its Privacy Policy.
  • Integration with third‑party applications or products is subject to the third party’s terms, and Safexel disclaims liability for such products.

8. Disclaimers

  • The Service is provided “as is” without warranties of any kind.
  • Safexel does not guarantee uninterrupted or error‑free operation.
  • Service interruptions may occur due to maintenance or external causes, with reasonable efforts made to provide advance notice.
  • Safexel is not liable for failures caused by force majeure events, third‑party shortcomings, or Customer system malfunctions.
  • External Websites: Safexel disclaims liability for third-party websites linked through its Services.
  • English Version Control: In case of discrepancies between translations, the English version shall prevail.

9. Limitation of Liability

  • Customer Data remains the sole responsibility of the Customer and User.
  • Safexel excludes liability for indirect, incidental, special, punitive, or consequential damages, including lost profits, goodwill, or data.

10. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Singapore, unless otherwise specified in the Customer agreement.

11. Changes to Terms

Safexel may update these Terms periodically. Updates will be posted on the Safexel website. Continued use of the Service after updates constitutes acceptance of the revised Terms.

12. Definitions

  • Agreement: The agreement executed between Safexel and the Customer.
  • Customer: Entity granting access to Services.
  • Customer Data: Files, data, and elements provided for processing.
  • Data Protection Laws: Applicable legislation relating to personal data protection.
  • Force Majeure Event: Events beyond reasonable control (e.g., strike, epidemic, war, natural disaster).
  • Intellectual Property Rights: Copyright, patent, trademark, trade secret, and other proprietary rights.
  • Safexel: The applicable Safexel contracting entity.
  • Party(ies): The User and/or Safexel.
  • Privacy Policy: Safexel’s privacy policy.
  • Properties: Safexel applications, platform, software, documentation, and assets.
  • Release(s): Updates, patches, or new versions of Safexel software.
  • Relief Event: Defined in Section 6.
  • Services: Professional services and/or subscriptions ordered by the Customer.
  • Software: Safexel’s software and releases thereof.
  • Terms: These Terms of Use.
  • User: Individual granted access to Services.
  • User IDs: Login credentials uniquely associated with a User.
  • Safexel Website: www.safexel.com.
